These Terms of Service (“Terms”) govern your access to and use of the OBEL™ platform and related services (“Services”) provided by ninthLABS Ventures Pty Ltd (“ninthLABS”, “we”, “us”, or “our”), a company incorporated in New South Wales, Australia. By accessing or using the Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Services, you confirm that you are at least 18 years of age, have the legal authority to bind yourself or the organisation you represent, and accept these Terms in full. If you do not agree, you must not use the Services.
2. Description of Services
OBEL™ is a secure, multi-tenant AI gateway platform. The Services include real-time PII scrubbing, ARGUS-i™ sovereign content classification, cost governance, AES-256-GCM credential vault, and tamper-evident audit trail functionality. Features vary by subscription plan.
3. Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorised access at security@ninthlabs.ai.
You may not share accounts, resell access, or permit third parties to access the Services under your credentials. Organisation administrators are responsible for ensuring all members within their workspace comply with these Terms.
4. Subscription Plans and Payment
Access to paid features requires a subscription or prepay credit purchase. All prices are displayed in United States dollars (USD) unless stated otherwise. Payments are processed securely by Stripe. We do not store your payment card details.
Subscription fees are billed in advance on a monthly or annual basis depending on the interval you select at checkout. Annual subscriptions are billed as a single upfront payment covering twelve months of access. Usage-based charges (model inference costs for OBEL™ Add-on Pack users) are deducted from your prepay balance in real time.
We reserve the right to change pricing with 30 days' notice. Price changes will not apply to the current billing period for active subscriptions.
5. Cancellation and Refunds
Cancellation
You may cancel your subscription at any time from the Billing settings page within your workspace. Cancellation takes effect at the end of the current billing period — your access continues until that date. We do not charge early-termination fees.
Monthly subscriptions
Monthly subscription fees are non-refundable once a billing period has commenced. Cancelling a monthly subscription prevents future charges; it does not generate a refund for the current month.
Annual subscriptions
If you cancel an annual subscription within 14 days of purchase and have not made substantive use of the Services (fewer than 100 LLM requests), you may request a full refund by emailing hello@ninthlabs.ai. Outside that 14-day window, annual fees are non-refundable except where required by law.
Prepay credit
Unused prepay credit (OBEL™ Add-on Pack) is non-refundable, except in cases where we have materially failed to deliver the Services or where required by applicable consumer law. To request a credit refund, contact hello@ninthlabs.ai with your account details and reason for the request.
Consumer law rights
Nothing in these Terms limits any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or other applicable consumer protection legislation. Where such rights apply, they prevail over any contrary provision of these Terms.
6. Acceptable Use
You agree not to use the Services to:
- Submit content that is unlawful, harmful, abusive, defamatory, or otherwise objectionable
- Attempt to circumvent, disable, or interfere with any security feature of the platform
- Submit content classified at PROTECTED or above to a model that is not approved for that classification level
- Reverse-engineer, decompile, or extract source code from the platform
- Use automated means to scrape, crawl, or bulk-extract data from the Services
- Resell, sublicense, or otherwise commercialise access to the Services without our written consent
- Use the Services in any way that violates applicable law or regulation
We reserve the right to suspend or terminate access immediately if we detect a material breach of this clause.
7. Data and Privacy
Your use of the Services is subject to our Privacy Policy and, where applicable, our Data Processing Agreement. By using the Services, you consent to the collection and processing of data as described in those documents.
You retain ownership of all content you submit through the Services. You grant us a limited licence to process that content solely for the purpose of delivering the Services. We do not use your content to train AI models.
8. Intellectual Property
OBEL™, ARGUS-i™, and all related logos, names, and product features are trademarks of ninthLABS Ventures Pty Ltd. All rights not expressly granted in these Terms are reserved. Nothing in these Terms transfers intellectual property rights to you.
9. Limitation of Liability
To the maximum extent permitted by law, ninthLABS Ventures Pty Ltd will not be liable for any indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services.
Our total aggregate liability to you in any 12-month period is limited to the greater of: (a) the total fees you paid to us during that period, or (b) AUD $100.
These limitations do not apply to liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or to any liability that cannot be excluded or limited by applicable law.
10. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance, apply security patches, or suspend Services temporarily in circumstances outside our reasonable control. Planned maintenance is communicated in advance where practicable.
11. Termination
We may suspend or terminate your access with immediate effect if you breach these Terms, engage in fraudulent activity, or where required by law. On termination, your right to access the Services ceases. You may request an export of your data within 30 days of termination by contacting hello@ninthlabs.ai.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales, except where prohibited by applicable law.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email to the address on your account or via an in-product notice at least 14 days before they take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.
